1. Parties
This Membership Agreement (“Agreement”) is entered into between Metay Silver (hereinafter referred to as the “Site”) and the User registered on the Site (hereinafter referred to as the “Member”) to define the responsibilities and obligations of the Member regarding transactions conducted on the Site.

2. Definitions

• Site: The e-commerce platform operated by Metay Silver, where wholesale silver products are sold.
• Member: Any legal or natural person who registers on the Site and agrees to this Agreement.
• User Account: The personal or corporate account created by the Member to perform transactions on the Site.

3. Membership Requirements
3.1. To register on the Site, individuals must be over the age of 18, possess legal capacity, and be eligible to engage in wholesale silver trade.
3.2. All information provided during registration must be accurate, complete, and up to date. The Site reserves the right to suspend or terminate accounts with false or misleading information.
3.3. During the membership process, verification of tax registration, trade registry numbers, identification details, and contact information will be conducted.

4. Rights and Obligations of Membership
4.1. Members are allowed to use the Site exclusively for wholesale silver trade. Retail activities are strictly prohibited.
4.2. Members cannot transfer or share their accounts with third parties.
4.3. Members are fully responsible for all legal obligations arising from transactions conducted on the Site.
4.4. The Site reserves the right to modify prices, product details, and stock availability without prior notice.
4.5. Members agree to act in good faith and in compliance with ethical trade practices in all transactions performed through the Site.

5. Termination of Membership
5.1. Members may terminate their membership at any time.
5.2. The Site reserves the right to suspend or terminate memberships in cases of violation of the Agreement or misuse of the platform.
5.3. Termination of the account does not eliminate pending payment or delivery obligations.

6. Privacy and Data Protection
6.1. The Site processes personal data provided by Members in accordance with applicable data protection laws (e.g., GDPR, CCPA). Personal data will not be shared with third parties without the Member’s consent.
6.2. Members are responsible for keeping their information accurate and up to date.

7. Pricing and Payment Terms
7.1. All product prices are specified in U.S. Dollars (USD).
7.2. Payments can be made via credit card, bank transfer (SWIFT), or other accepted methods.
7.3. Orders will not be processed until full payment is received and confirmed.

8. Delivery Terms
8.1. Orders will be delivered to the specified address within 30 business days from the order confirmation date.
8.2. The Member is responsible for inspecting the products upon delivery. Any missing or damaged products must be reported to the Site immediately.
8.3. All delivery fees, customs duties, taxes, and any other charges arising in the receiving country are the responsibility of the Member.

9. Limitation of Liability
9.1. The Site shall not be held liable for delays or failures caused by force majeure events such as natural disasters, wars, government regulations, or other unforeseen circumstances beyond its control.
9.2. The Site's total liability for claims arising under this Agreement shall not exceed the total value of the products purchased by the Member.

10. Dispute Resolution
Any disputes arising from this Agreement shall be governed by the laws of Turkey, and the Istanbul Courts and Execution Offices shall have exclusive jurisdiction.

11. Validity
This Agreement becomes effective upon the Member’s registration on the Site. The Site reserves the right to update or modify this Agreement and will notify Members of any changes.
